1. Introduction

These Terms of Use (the "Terms") govern your use of the Listumi mobile application (the "App") and the website located at listumi.com (the "Website"), operated by Listumi ("Service Provider", "we", "us", or "our").

By downloading, accessing, or using the App or Website, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use our Service.

2. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent and warrant that you meet this age requirement.

3. License Grant

We grant you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the App strictly in accordance with these Terms.

You strictly agree not to:

• Decompile, reverse engineer, disassemble, or attempt to derive the source code of the App.
• Modify, adapt, translate, or create derivative works of the App.
• Use the App for any illegal purpose or in violation of any local, state, national, or international law.
• Share illegal, offensive, or harmful content in shared shopping lists. We reserve the right to remove any content or ban users who violate this rule.

4. User Accounts and Local-First Data Storage

The App is built with a "local-first" architecture. This means:

• Private Lists: Your unshared shopping lists and preferences are stored exclusively on your device. We do not have access to this private data.
• Shared Lists and Cloud Sync: The App utilizes anonymous authentication to synchronize data with our cloud servers only when you explicitly share a list.
• Data Responsibility: You are responsible for maintaining the confidentiality of your device. If you uninstall the App or clear your device's data, you will permanently lose access to your private, unshared lists.

5. Intellectual Property

The App, including its original content, features, functionality, code, graphics, and user interface, are owned by the Service Provider and are protected by international copyright, trademark, and other intellectual property laws.

The "Listumi" name and logo are trademarks of the Service Provider.

6. Third-Party Services

The App may display, include, or make available third-party content (including data, information, applications, and other products/services) or provide links to third-party services (e.g., Google Firebase, Supabase). You acknowledge and agree that we shall not be responsible for any Third-Party Services.

7. Disclaimer of Warranties

The App and Website are provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Service Provider expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will be free of bugs, crashes, or data loss.

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall the Service Provider be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, or other information) arising out of or in any way related to the use of or inability to use the App.

9. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the App will cease immediately.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ukraine, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

12. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any changes by posting the new Terms on this page. Your continued use of the App after any such changes constitutes your acceptance of the new Terms.
